Article 1. Purpose

This Terms of Use is to stipulate the rights, obligations and responsibilities of Samsung Electronics Co., Ltd (hereinafter referred to as “Samsung Electronics”) and shareholders in using its services, such as a live stream of the Samsung Electronics Annual General Meeting of Shareholders and an advance submission of questions (“Live Stream Service” or “Service”), provided by Samsung Electronics Annual General Meeting Live Stream Website (https://www.samsungagm.com) operated by Samsung Electronics through real-name and identity authentication of shareholders.

Article 2. Definitions

1. [Live Stream Website] refers to a website that enables Samsung Electronics’ shareholders to watch a live stream of the Annual General Meeting of Shareholders on information and communications devices, such as computers, and to register questions online. The term is also used to refer to the operator of [Live Stream Website].

2. [Shareholders] refer to shareholders of Samsung Electronics listed on the register of shareholders as of December 31, 2025 who are eligible to use the Live Stream Service in accordance with this Terms of Use after consenting to the Terms of Use and the Consent to Collect and Use Personal Information, and completing pre-registration through real name and identity authentication.

Article 3. Clarification, Explanation and Amendment of Terms of Use, Etc.

1. [Live Stream Website] shall publish on its first page the Terms of Use, the name of the company and the representative, the mailing address of the office (including the mailing address of the place where consumer complaints can be handled), phone number, fax number, e-mail address, business registration number, mail order business registration number, information on Data Protection Officer, etc. so that Shareholders can be cognizant of such information. However, the Terms of Use may be posted such that Shareholders may view the contents through a hyperlinked page.

2. [Live Stream Website] may amend the Terms of Use to the extent that it does not violate relevant laws such as the Act on the Regulation of Terms and Conditions, the Framework Act on Electronic Documents and Transactions, the Digital Signature Act, the Act on Promotion of Information and Communications Network Utilization and Information Protection, the Consumer Protection Act, etc.

3. If the Terms of Use is amended, [Live Stream Website] shall publish on its first page the effective date and the reason for the amendment, along with the Terms of Use effective before the amendment, from seven (7) days prior to the effective date until the day immediately preceding the effective date. However, when the amendment is disadvantageous to Shareholders, it shall be announced at least thirty (30) days before the effective date. In such cases, [Live Stream Website] shall provide a clear comparison of the Terms of Use before and after the amendment to make it easier for Shareholders to understand.

4. When [Live Stream Website] amends the Terms of Use, the amended Terms of Use shall apply only to information, etc. provided after the effective date, and the Terms of Use effective before the amendment shall continue to apply to all information provided before the effective date. However, the amended Terms of Use shall apply to information provided before the effective date if a Shareholder communicates to [Live Stream Website] the desire to have the amended Terms of Use apply to information that the Shareholder has already received during the notice period of the amendment as set forth in Paragraph 3 and obtains consent thereto from [Live Stream Website].

5. A Shareholder shall be deemed to have consented to the amended Terms of Use if the Shareholder fails to expressly indicate the intention to reject the amended Terms of Use despite the fact that, in announcing or notifying the amended Terms of Use pursuant to the preceding paragraph, [Live Stream Website] has clearly informed Shareholders that a failure to indicate an intention within the seven (7) day notice period (thirty (30) days if an amendment is disadvantageous to Shareholders) shall be deemed as an expression of intention to consent to the Terms of Use.

6. When a Shareholder does not agree to the application of an amendment of the Terms of Use, [Live Stream Website] may not apply the amendment of the Terms of Use. In this case, the Shareholder may terminate the service contract. However, when there are special circumstances that make [Live Stream Website] unable to apply the previous Terms of Use, the Company may terminate the service contract.

7. Matters not specified in this Terms of Use and the interpretation of the Terms of Use shall be governed by relevant laws, such as the Act on the Regulation of Terms and Conditions, or Annual General commercial practices.

Article 4. Provision of Service

[Live Stream Website] shall perform the following Service.

① Live streaming Samsung Electronics’ Annual General Meeting of Shareholders;
② Collecting questions for Samsung Electronics’ Annual General Meeting of Shareholders prior to and during the live stream of the Annual General Meeting of Shareholders; and
③ Other tasks determined by [Live Stream Website]

Article 5. Suspension and Termination of Service

1. [Live Stream Website] may temporarily suspend the Service on grounds of a maintenance inspection, replacement or breakdown of information and communications equipment, such as computers, or a disruption of communication, etc.

2. In the event where the Service cannot be provided for any of the reasons set forth in the preceding paragraph, [Live Stream Website] may notify Shareholders of relevant details in the manner specified in Article 8.

3. The Service will be provided until the end of the 57th Annual General Meeting of Shareholders of Samsung Electronics, and Shareholders will no longer be able to use the [Live Stream Website] once the 57th Annual General Meeting of Shareholders of Samsung Electronics ends. In this case, the [Live Stream Website] shall destroy the personal information provided by Shareholders pursuant to Article 9(7) of these Terms of Use.

Article 6. Pre-registration

1. [Live Stream Website] is exclusive to registered Shareholders on the Company’s record who have consented to the Terms of Use and the Consent to Collect and Use Personal Information according to the procedure set by [Live Stream Website] and completed pre-registration through real name and identity authentication.

2. [Live Stream Website] shall approve an applicant as a Shareholder who has completed real name and identity authentication as set forth in Paragraph 1 unless any of the following applies.

① An applicant is not listed on the register of shareholders as of December 31, 2025;
② An applicant fails to complete real name and identity authentication as required of all Shareholders;
③ Information submitted for shareholder registration contains falsity, an omission, or an error;.
④ A change of information about a Shareholder is not reflected in the information of the Shareholder held by the Company for various reasons, resulting in inconsistency between the current information of the Shareholder (or information entered for shareholder verification) and the shareholder information held by the Company.
⑤ Other cases where it is deemed that registration of an applicant as a Shareholder is substantially difficult due to technological constraints of [Live Stream Website].

3. Approval of an applicant as a Shareholder shall take effect when a notification e-mail or an SMS/LMS reaches the applicant after the shareholder authentication process of [Live Stream Website] is completed.

Article 7. Restrictions and Suspension of Service, Etc.

1. [Live Stream Website] may limit or suspend the use of the Service by a Shareholder if any of the following applies:
① If the Shareholder has provided false information for pre-registration;
② If the Shareholder threatens the normal operation of [Live Stream Service] by interfering with the use of [Live Stream Service] by others or stealing information;
③ If the Shareholder engages in conduct on [Live Stream Website] that is prohibited by law or this Terms of Use, or contrary to public order and good morals; or
④ If the user is not verified to be a Shareholder of Samsung Electronics as of December 31, 2025.

2. [Live Stream Website] may prohibit a Shareholder from using the Service if any of the events set forth in the preceding paragraphs occurs after [Live Stream Website] has limited the use of the Service and, notwithstanding a request for correction from [Live Stream Website], it is not corrected within a requested period.

Article 8. Notice to Shareholders

1. [Live Stream Website] may give notice to a Shareholder through the Shareholders’ e-mail address (if e-mail notification is used) or mobile phone number (if mobile text messages are used, such as an SMS/LMS) that is agreed between the Shareholder and [Live Stream Website] in advance during pre-registration under Article 6.

2. If notice must be provided to a large number of unspecified Shareholders, [Live Stream Website] may post the notice on the bulletin board of [Live Stream Website] for at least one (1) week in lieu of individual notice. However, notice must be provided individually to each Shareholder for matters that have a significant impact on the exercise of shareholder rights.

Article 9. Protection of Personal Information

1. [Live Stream Website] may collect and use a minimum amount of Shareholders’ information necessary to perform the contract. Please refer to the Privacy Policy for information collected.

2. If [Live Stream Website] wishes to collect personally identifiable information of Shareholders, it shall obtain consent from each respective Shareholder, unless otherwise permitted by law.

3. Personal information provided by a Shareholder may not be used for any other purpose or provided to a third party without the consent of the Shareholder, and [Live Stream Website] shall bear liability arising from a breach thereof, except for the following cases:
① Where the information is necessary to compile statistics or conduct academic or market research and is provided in a form that cannot identify a specific individual;
② Where the information is necessary for identification purposes to prevent theft; and
③ Where permitted by law.

4. When [Live Stream Website] needs to obtain the consent of Shareholders pursuant to Paragraphs 2 and 3, it must specify or announce in advance matters stipulated in Article 17(2) of the Personal Information Protection Act, including the identity of the Data Protection Officer (affiliation, name, phone number and other contact information), the purpose of collecting and using the information, and details concerning the provision of personal information to third parties (the recipient of personal information, purpose of use by the recipient, the specific piece of personal information provided, the period of retention and use of the personal information by the recipient). Shareholders may withdraw their consent at any time.

5. Shareholders may request to view and correct errors in their personal information held by [Live Stream Website] at any time, and [Live Stream Website] is under the obligation to take necessary measures promptly. When a Shareholder requests a correction of an error, [Live Stream Website] shall not use the personal information until the error is corrected.

6. To protect personal information, [Live Stream Website] shall minimize the number of managers of personal information and take responsibility for any damage suffered by Shareholders due to a loss, theft, leakage or alteration of Shareholders’ personal information.

7. [Live Stream Website] or a third party that has received personal information from [Live Stream Website] shall destroy the personal information without delay when the purpose of collecting or receiving the personal information has been accomplished. However, this is not the case if the personal information must be preserved in accordance with other laws and regulations.

Article 10. Obligations of [Live Stream Website]

1. [Live Stream Website] shall not engage in any acts prohibited by law or this Terms of Use or any acts contrary to public order and good morals. [Live Stream Website] shall do its best to provide the Service in a continuous and stable manner according to the Terms of Use.

2. [Live Stream Website] shall have a security system to protect Shareholders’ personal information (including credit information) to ensure that the Shareholders may use the Service safely.

3. [Live Stream Website] shall not send for-profit commercial information that Shareholders do not want.

Article 11. Shareholders’ Obligation on Access Code

1. Except in the case of Article 9, Shareholders shall be responsible for managing their access code required to watch the Annual General Meeting of Shareholders Live Stream and to use the question board.

2. Shareholders shall not allow their access codes to be used by a third party.

3. When a Shareholder becomes aware that the Shareholders’ access code has been stolen or is being used by a third party, the Shareholder shall immediately notify [Live Stream Website] and follow the instructions of [Live Stream Website], if there is any.

Article 12. Obligations of Shareholders

1. Shareholders shall not engage in any of the following acts and may otherwise face civil and/or criminal liability:
① Providing false information when making pre-registration or updating registered information;
② Stealing others’ information.
③ Altering information posted on [Live Stream Website];
④ Transmitting or posting information (computer programs, etc.) other than the information permitted by [Live Stream Website];

⑤ Infringing on intellectual property rights of [Live Stream Website] or any third parties.
⑥ Damaging the reputation of [Live Stream Website] and any third parties or interfering with their business;
⑦ Disclosing or posting obscene, abusive or violent messages, images, voices or other information on [Live Stream Website] that is contrary to public order and good morals;
⑧ Posting commercials for profit;
⑨ Disclosing the content of the Service by capturing, recording, taking photos of, duplicating, transmitting, publicly performing, displaying, or distributing live stream screens without the consent of [Live Stream Website]; or

⑩ Posting offensive or abusive words, insults, defamatory remarks, false information, etc. when submitting questions prior to or during the Annual General Meeting of Shareholders Live Stream.

2. [Live Stream Website] may delete a post or other information without prior notice when it is clear that the post or other information uploaded by a Shareholder falls within any of the following cases:
① It is obvious that the post or other information contains stolen information, infringes upon rights of another, such as copyright, is defamatory or impedes business, or victims, etc. have vindicated damage they suffered by presenting reasonable evidence to the Company; or
② It constitutes an act that is prohibited by applicable laws or regulations or subject to criminal punishment.

Article 13. Attribution and Restriction of Copyright

1. Copyrights and other intellectual property rights for works created by [Live Stream Website] shall belong to [Live Stream Website]

2. Of the information obtained while using [Live Stream Website], Shareholders may not use for commercial purposes the information whose intellectual property right is owned by [Live Stream Website] by means of duplication, transmission, publication, distribution, broadcasting, etc., or allow any third party to use it without prior authorization of [Live Stream Website].

3. [Live Stream Website] may use posts uploaded by Shareholders on [Live Stream Website] for the operation of the Annual General Meeting of Shareholders, such as questions submitted prior to or during a live stream.

Article 14. Dispute Resolution

1. [Live Stream Website] shall make efforts to accommodate legitimate opinions or complaints raised by Shareholders.

2. [Live Stream Website] prioritizes the processing of complaints and opinions submitted by Shareholders. However, when it is impracticable to handle them promptly, [Live Stream Website] shall notify the affected Shareholder of the reason for delay and the processing schedule.

Article 15. Jurisdiction and Governing Law

1. Any lawsuit for a dispute between [Live Stream Website] and a Shareholder shall be based on the address of the Shareholder at the time of filing the lawsuit, and when there is no address, the district court which has jurisdiction over the place of residence of the Shareholder shall have exclusive jurisdiction over the lawsuit. However, where the address or the place of residence of the Shareholder is unclear at the time of filing the lawsuit or where the Shareholder resides in a foreign country, a competent court pursuant to the Civil Procedure Act shall have jurisdiction.

2. Lawsuits arising between [Live Stream Website] and Shareholders shall be governed by the laws of the Republic of Korea.
